Pink Junction is owned and operated by Soleil Mobile, Inc., which is a lifestyle social network on-line and mobile that allows users to share their own personal content with friends. The services include the ability to fill out an empty template and choose one of the lifestyle topics such as 'Fashion, Event Planning, Home/Décor, Parenthood, Health/Wellness, Travel, Fitness and Gardening' the user then can post their content on the daily feed and share it among friends or save it in their files. Pink Junction offers a free membership. By using the Pink Junction services located at www.pinkjunction.com online and available on mobile services; you agree to the terms to be bound by these terms of use; referenced herein and such separate or additional terms as may be identified with certain of the Pink Junction services, and all such guidelines, terms and rules are hereby incorporated herein by this reference (collectively, "Terms of Use"). The Pink Junction services are hosted in the United States of America.
You must be 18 or over, or the legal age to form a binding contract in your jurisdiction if that age is greater than 18 years of age, to use the Pink Junction Site and Services. If you are under the age of 18 or the applicable legal age in your jurisdiction, you can use the Pink Junction Services only in conjunction with, and under the supervision of, your parent or guardian who has agreed to the Terms of Use. If you do not qualify, do not use the Pink Junction Services. You must be 13 or older to use the Pink Junction Site, in compliance with the Children's Online Privacy Protection Act . By using the Pink Junction Site and/or Pink Junction Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms of Use and to abide by all of the terms and conditions set forth herein. The Pink Junction Site and Pink Junction Services are administered in the United States of America; users are responsible for compliance with any local laws applicable to their use of the Pink Junction Service or the Site.
You agree and understand that these Terms of Use, the Pink Junction Site and the Pink Junction Services may be modified by Pink Junction at any time. If you have created an account with us by registering as described below, we will attempt to inform you of any modifications to these Terms of Use, the Pink Junction Site, or the Pink Junction Services that affect your obligations to Pink Junction or our obligations to you. We will attempt to inform you of such modifications either by sending you an email at the email address you provided as part of the registration process, or by a message to you at the time you log into the Pink Junction Site. If you do not agree with any such modifications, you can deactivate your account with Pink Junction, which you may cancel at anytime in your 'Account' settings. In order to use or access some of the Pink Junction Services, you are required to register with Pink Junction and to select a password,
user name and an email address you own and use. During the registration process, you may be requested to provide certain information
(e.g. your birth date, gender, name, e-mail address, country or territory of residence), and you agree to provide true, accurate, current
and complete information about yourself as prompted by such process as 'Personal Information'. Pink Junction will use your Personal
Information in accordance with its then current privacy policy ("Pink Junction Privacy Policy").
If any of your Personal Information changes (i.e., new address or email address, new city or country etc.), you must update that information in your account.
Failure to do so shall constitute a breach of these Terms of Use, which may result in immediate termination of your
account. You may not: (i) establish more than one user name per valid email address you control, (ii) enter, select or use a false name
or email address or telephone number owned or controlled by another person without that person's permission, or, (iii) use as a user
name a name subject to any rights of a person other than yourself without appropriate authorization. The user name that you select
must comply with the requirements for other Content, and such other policies for user names that Pink Junction may publish from time
to time. Pink Junction reserves the right to refuse registration of, or cancel a user name and other elements of a user account in
its discretion. You shall be responsible for maintaining the confidentiality of your password and are fully responsible for all
activities that occurunder your user name and password. Any user name and password provided to you for your access to the Pink
Junction Services shall be for your personal use only. You agree to (a) immediately notify Pink Junction of any unauthorized use of
your user name or password, and (b) ensure that you exit from your account at the end of each session.
Content and such other policies for user names that Pink Junction may publish from time to time. Pink Junction reserves the right to
refuse registration of, or cancel a user name and other elements of a user account in its discretion. You shall be responsible for maintaining
the confidentiality of your password and are fully responsible for all activities that occur under your user name and password.
Any user name and password provided to you for your access to the Pink Junction Services shall be for your personal use only. You
agree to (a) immediately notify Pink Junction of any unauthorized use of your user name or password, and (b) ensure that you exit from
your account at the end of each session.
Subject to the restrictions on use and on posting set forth in this Agreement, you may: use the Pink Junction Services to upload, publish and display photos, profiles (including your name, image, and information), messages via lifestyle templates, questions, comments and notes, advertisements, listings, hyperlinks and other content; invite people you know to join Pink Junction; and download or copy the portions of the information, data, text, video, photographs, graphics, messages available via the Pink JunctionServices ("Content"), and other items displayed on the Pink Junction Site, for your own use. You may not copy or distribute any portion of the Pink Junction Site and/or Pink Junction Services for any purpose not authorized. You understand that by using the Pink Juction Services you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will Pink Junction/ Soleil Mobile, Inc. be liable in any way for any Content, including any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of your use of any Content. You are responsible for complying with all laws applicable to the Content you submit via the Pink Junction Services. You agree that you must evaluate and bear all risks associated with the use of any Content, including any reliance on the content, integrity, and accuracy of such Content.
You are solely responsible for any Content and other material that you submit, publish or display on the Pink Junction Site or transmit
to other members and/or other website users (hereinafter, "Posted Content"). You expressly acknowledge and agree that any Posted
Content is a public, not a private, communication, and Pink Junction has no confidentiality obligations with respect to any Posted Content.
You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without
obtaining the prior written consent of the owner of such proprietary rights. You may not submit any Content or material that infringes,
misappropriates or violates the intellectual property, publicity, privacy or other rights of any party. You may not provide any Posted
Content that falsely express or imply that such Content or material is sponsored or endorsed by Pink Junction. You may not provide any
Posted Content that is unlawful or that promotes or encourages illegal activity.
You understand and agree that Pink Junction may, but is not obliged to, review and delete any Posted Content that in the sole judgment
of Pink Junction violates these Terms of Use or which might be offensive, illegal, or that might violate the rights of, harm, or threaten the
safety of other users or members of the Pink Junction Site and/or other website users. You agree that you will only provide Posted Content
that you believe to be true and you will not purposely provide false or misleading information.
By providing Posted Content to the Pink Junction Site, you agree to and hereby do grant, and you represent and warrant that you have
the right to grant, Pink Junction and its successors interest, its contractors, its partners and the users of the Pink Junction Site an irre
vocable, perpetual, royalty-free, fully sub licensable, fully paid up, worldwide license to use, copy, publicly perform, digitally perform,
publicly display, and distribute such Posted Content and to prepare derivative works of, or incorporate into other works, such Posted
Content.
The following is a partial list of the kind of Content and communications that are illegal or prohibited on/through the Pink Junction Site.
Pink Junction reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this
provision, including without limitation, removing the offending communication from the Pink Junction Services and terminating the mem
bership of such violators or blocking your use of the Pink Junction Services and/or Pink Junction Site. You may not post Content that:
is false or intentionally misleading, is offensive to users of the Pink Junction site, harasses or advocates harassment of another person,
violates the intellectual property or other right of any person, promotes illegal activities or conduct that is abusive; is threatening,
obscene, defamatory or libelous; is pornographic or sexually explicit in nature; and seeks or recommends providers of material that
exploits people under the age of 18 in a sexual or violent manner, or seeks or recommends providers that solicit personal information
from anyone under 18.
It is Pink Junction / Soleil Mobile's policy to (i) block access to or remove material that it believes in good faith to be copyrighted material that has been illegally copied and distributed by any of our advertisers, affiliates, Content providers, members or users; and (ii) remove and discontinue service to repeat offenders. Procedure for Reporting Copyright Infringements. If you believe that material or Content residing on or accessible through the Pink Junction Site or Services infringes a copyright you own or control, please send a notice of copyright infringement to info@pinkjunction.com. (a) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works;(b) Identification of the claimed infringing material and information reasonably sufficient to permit us to locate the material on the Pink Junction Services (providing the URL(s) of the claimed infringing material satisfies this requirement); (c) Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an email address; (d) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (e) A statement by you, made under penalty of perjury, that the above information in your notification is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf; and (f) Your physical or electronic signature. All Content supplied by or through the Pink Junction Services are provided with "RESTRICTED RIGHTS." use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in FAR52.22724 and DFAR252.227-7013 et seq. or its successor. Use of any of such by the Government constitutes acknowledgment of our or our suppliers' proprietary rights in them. In the event that the Agreement, or any part thereof, is deemed inconsistent with the minimum rights identified in the Restricted Right provisions, the minimum rights shall prevail.
Use of the Pink Junction Services is also governed by our Privacy Policy, which in incorporated into this agreement by this reference.
The Pink Junction Site may contain links to third parties web sites, including web sites that may be co-branded with Pink Junction marks and look-and-feel ("Linked Sites") and which offer services which are similarly co-branded. These Linked Sites are not under the control of Pink Junction and Pink Junction is not responsible for the availability, contents, or performance of any Linked Sites. You are respon sible for determining when you have left the Pink Junction Site and are viewing a Linked Site, and for viewing and abiding by the privacy statements and terms of use posted at the Linked Sites. You should direct any concerns regarding the Linked Sites to their administrators. Pink Junction is not responsible for and makes no warranties, express or implied, as to the User Content or the accuracy and reli ability of the User Content posted through or in connection with the Pink Junction Services or Linked Services, by Users of the Pink Junction Services or Linked Services, and such User Content does not necessarily reflect the opinions or policies of Pink Junction.

You acknowledge that the Pink Junction Services and any underlying technology or software used in connection with the Pink Junction Services contain Pink Junction proprietary information. You may not modify, reproduce, distribute, create derivative works of, publicly display or in any way exploit, any of the content, software, and/or materials available on the Pink Junction Site, or Pink Junction Services in whole or in part except as expressly provided in Pink Junction's policies and procedures made available via the Pink Junction Services. Except as expressly and unambiguously provided herein, Pink Junction and its suppliers do not grant you any express or implied rights, and all rights in the Pink Junction Services not expressly granted by Pink Junction to you are retained by Pink Junction.
You agree to indemnify and hold Pink Junction, its parents, subsidiaries, affiliates, officers and employees, harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of (i) your access to the Pink Junction Site, (ii) your use of the Pink Junction Services, (iii) the violation of these Terms of Use by you, or (iv) the infringement by you, or any third party using your account or user name or password, of any intellectual property or other right of any person or entity.
In no event shall Pink Junction be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or puni tive damages, includes, without limitation, lost profit damages arising from your use of the Pink Junction services or linked services, even if Pink Junction has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, Pink Junction liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to Pink Junction for the Pink Junction services during the term of membership.
This Agreement is accepted upon your use of the Pink Junction Website or any of the Pink Junction Services and is further affirmed by you becoming a Member. Your agreement with Pink Junction will always include this Agreement at a minimum. Your access and use of certain Pink Junction Services will require you to accept additional terms and conditions applicable to such certain Pink Junction Ser vices. Pink Junction Services or Pink Junction site is accessed at your own discretion and risk and you will be solely responsible for any damage to your computer system or loss of date that results from the download of any such material. No advice or information, whether oral or written, obtained by any user from Pink Junction, the Pink Junction site or through or from the Pink Junction Services shall create any warranty not expressly stated herein. All of your correspondence or business dealings with, or participation in promotions of, any third parties on or through the Service are solely between you and such third party. You agree that none of the Pink Junction Parties (except the specific third party, if applicable) shall be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such third parties on the Service.
Pink Junction may in its sole discretion terminate this Agreement or suspend your access to Services or Materials at any time with or without notice to you in the event that you breach of any provision of this Agreement. If Pink Junction so terminates this Agreement, or suspends your access to Services or Materials, it shall have no liability or responsibility to you. You understand and agree that to the extent permitted by applicable law, your cancellation of any of your then current Service subscriptions and deletion of Materials is your sole right and remedy with respect to any dispute with Pink Junction. You can cancel your membership at any time in the 'Account' section of the site to deactivate your account.

Pink Junction may, without liability or obligation, in its sole discretion and at any time to make modifications to the Materials and/or Service and without providing you with notice; and/or to require you to use modified Materials and/or Services in order to have continued access to the Service and Materials. The modifications may result in certain Materials being unavailable, or incompatible with certain devices, and/or over the networks of certain carriers and service providers. You agree that neither Pink Junction nor its licensors or other suppliers shall be liable to you or to any third party for any modification, suspension or discontinuance of any Service or Materials.
You agree that the exclusive remedy for all disputes and claims relating in any way to, or arising out of, this Agreement, the Service or Materials, or your use of the Service or Materials or to any other alleged act or omission by you or Pink Junction, shall be determined exclusively by final and binding arbitration. Provided however, that you agree that the terms of this paragraph do not apply to any breach or alleged breach of the ownership or license rights of Soleil Mobile, Inc. /Pink Junction or any of its licensors with respect to any Materials and/or Services, or your (or any third party's) misuse of the Materials and/or Services. The arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association before a panel of three arbitrators and conducted in Los Angeles, California.
This Agreement, and any claim related to this Agreement, or the use of the Website, Services or Materials, shall be governed by, construed and enforced in accordance with the laws of the State of California as applied to agreements made and to be performed entirely therein, without giving effect to its conflict of laws provisions or your actual state or country of residence.
